   This Agreement aims to prevent the unauthorised disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship concerning the disclosure of certain proprietary business property and confidential information ("Confidential Information").

    

4. 4. Definition and Handling of Confidential Information

   1. 4.1. For the purposes of this Agreement, "Confidential Information" includes all information or material that has or could have commercial value or other utility in the business in which the Disclosing Party is engaged
   2. 4.2. Handling and Usage of Confidential Information:
      1. 4.2.1. Written Confidential Information shall be labeled or stamped as "Confidential" by the Disclosing Party.
      2. 4.2.2.  If Confidential Information is transmitted orally, the Disclosing Party shall promptly provide a writing indicating that such oral communication constituted Confidential Information.
   3. 4.3.  Exclusions from Confidential Information: 
      Information is not considered Confidential if it is publicly known at the time of disclosure or  subsequently becomes publicly known through no fault of the Receiving Party.

5. 5. Obligations of Receiving Party

   1. 5.1. The Receiving Party shall hold and maintain the Confidential Information in the strictest confidence for the sole and exclusive benefit of the Disclosing Party.
   2. 5.2.  The Receiving Party shall restrict access to Confidential Information to employees, contractors, and third parties as reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement. 
   3. 5.3. The Receiving Party shall not, without prior written approval of the Disclosing Party, use for its benefit, publish, copy, or disclose to others, or permit the use by others for their benefit or to the detriment of the Disclosing Party, any Confidential Information.
   4. 5.4. The Receiving Party shall return all materials containing Confidential Information to the Disclosing Party immediately upon written request.

    

6. 6. Time Periods

   The nondisclosure provisions of this Agreement shall survive the termination of this Agreement. The Receiving Party's duty to hold Confidential Information in confidence remains in effect until the Confidential Information no longer qualifies as a trade secret or until the Disclosing Party sends the Receiving Party a written notice releasing it from this Agreement, whichever occurs first.

    

7. 7. Relationships

   Nothing in this Agreement shall be deemed to constitute either party a partner, joint venture, or employee of the other party for any purpose.

    

8. 8. Severability

   If any provision of this Agreement is found by a court to be invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to effect the intent of the parties.

    

9. 9. Integration

   This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings. This Agreement may only be amended in writing signed by both parties.

    

10. 10. Waiver

    The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.

     

11. 11. Notice of Immunity

    Under federal and state trade secret laws, an individual shall not be held criminally or civilly liable for the disclosure of a trade secret that is made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (ii) solely for the purpose of reporting or investigating a suspected violation of law, or made in a court filing, if such filing is made under seal.
